Welcome to COJONT! These Terms of Use ("Terms"") govern your access to and use of the COJONT website (the "Site"), including any digital products, consulting services, and related tools or features made available to you.
The current version of COJONT is intended to be accessible by invitation only. If you did not receive an invitation to create an account, you are not authorized to use the Site's functionality that is available to users that have an account.
By accessing or using the Site-including creating an account, accessing the site, making a purchase, using functionality, or scheduling services—you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
1. Eligibility
To use our Site, you must be at least 18 years old or the age of majority in your jurisdiction and capable of entering into a legally binding agreement.
2. Accounts and Registration
To purchase items, use the Site's functionality, or schedule services, you may be required to create an account. When you create an account, you agree to:
- Provide accurate, complete, and current information
- Update your information promptly if it changes
- Maintain the confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
3. Digital Products
We offer downloadable or online-access digital content. including but not limited to guides, templates, courses, and other educational materials.
By purchasing digital content, you receive a limited, non-exclusive, non-transferable, revocable license to access and use the content, subject to the restrictions outlined below.
Restrictions: You agree not to:
- Share, resell, distribute, reproduce, or publicly display the content without the consent of COJONT
- Modify, reverse engineer, or create derivative works from the content
- Remove or alter any copyright, trademark, or proprietary notices
- Transfer or sublicense your access rights to any third party
No Refunds: All sales of digital content are final and non-refundable once the process for producing content is complete or has been downloaded or accessed, except where required by applicable law. Any requests for a refund for a specific product or service shall be made within 48 hours of purchase.
4. Consulting Services
We may offer one-on-one or group consulting sessions conducted online or in person, subject to availability. Our consulting services are designed to provide guidance and information related to our areas of operation.
Nature of Services: Consulting sessions are informational and educational in nature. While we strive to provide valuable guidance, we cannot guarantee specific results or outcomes.
Not Professional Advice: Our consulting services do not constitute and should not be considered a substitute for legal, financial, accounting, tax, medical, or other certified professional advice. You should consult with appropriate licensed professionals for specific advice tailored to your situation.
Scheduling and Attendance: You are responsible for attending scheduled sessions at the agreed-upon time.
5. Payments and Pricing
Payment Required: All payments must be made in full via the payment methods provided at checkout.
Currency and Taxes: Prices are listed in US dollars and may be subject to taxes or additional fees.
Price Changes: We reserve the right to change pricing at any time, but changes will not affect purchases already made.
Payment Processing: We use third-party payment processors to handle transactions. You agree to comply with any additional terms required by these processors.
6. User Conduct and Prohibited Activities
You agree to use the Site in compliance with all applicable laws and regulations. To maintain a safe, lawful, and respectful environment for all users, you are expressly prohibited from using the Site to engage in or facilitate the following activities:
6.1 General Prohibited Conduct
You specifically agree not to:
- Use the Site for any unlawful, fraudulent, or malicious purpose
- Upload, transmit, or distribute viruses, malware, or other harmful code
- Interfere with or disrupt the Site's functionality or servers

- Impersonate any person or entity or misrepresent your affiliation with any person or entity

- Use automated systems (bots, scrapers, etc.) to access the Site without our express written permission
- Abuse, exploit, or manipulate the Site's features, services, or platform in any manner
6.2 Protection of Children
You may not use the Site to:
- Endanger, exploit, or harm children or minors in any way
- Create, upload, share, or distribute content that sexualizes, grooms, abuses, or otherwise harms children
- Violate any laws related to child safety or protection
6.3 Safety and Security
You may not use the Site to:
- Compromise or threaten critical infrastructure, including utilities, transportation systems, healthcare systems, or emergency services
- Engage in activities that could cause physical harm to yourself or others
- Create, distribute, or facilitate access to weapons, explosives, or other dangerous materials, whether illegal or highly regulated

6.4 Violence, Hatred, and Harmful Content

- Generate, share, or distribute sexually explicit, pornographic, or obscene content
6.5 Privacy and Identity

- Engage in doxxing, stalking, or surveillance activities

6.7 Platform Integrity

Enforcement: We reserve the right to investigate violations of these Terms and to suspend, terminate, or restrict your access to the Site at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. We may also report illegal activities to appropriate law enforcement authorities and cooperate fully with any investigations.
No Obligation to Monitor: While we prohibit the conduct described above, we have no obligation to monitor user activity or content. We are not responsible for user-generated content or conduct that violates these Terms.
7. Intellectual Property
Ownership: All content, materials, features, and functionality on the Site—including but not limited to text, graphics, logos, images, videos, software, designs, digital products, and service materials—are the exclusive property of COJONT, LLC or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Trademarks: COJONT and all related logos, product names, and service names are trademarks or registered trademarks of COJONT, LLC. You may not use these marks without our prior written permission.
Restrictions: Except as expressly provided in these Terms, no part of the Site or its content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or exploited for any commercial purpose without our express prior written consent.
8. Disclaimers
AS IS BASIS: THE SITE, ALL CONTENT, AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
NO WARRANTIES: TO THE FULLEST EXTENT PERMITTED BY LAW, COJONT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND QUIET ENJOYMENT.
NO GUARANTEE: WE DO NOT WARRANT THAT:
- The Site will be uninterrupted, secure, or error-free
- Any defects or errors will be corrected
- The Site or servers are free of viruses or harmful components
- The results obtained from use of the Site will be accurate or reliable
- Any consulting services will produce specific results
Your Use at Your Risk: You use the Site and rely on any content or services at your own risk. You are solely responsible for any damage to your computer system or loss of data resulting from your use of the Site.
9. Limitation of Liability
MAXIMUM LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, COJONT'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT, SERVICE, PANEL, SESSION, OR USAGE PERIOD GIVING RISE TO THE CLAIM.
EXCLUSION OF DAMAGES: IN NO EVENT SHALL COJONT, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Essential Purpose: Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless COJONT, LLC and its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and costs) arising from or relating to:
- Your use or misuse of the Site
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Any content you submit, post, or transmit through the Site
- Any breach of your representations and warranties set forth in these Terms
Defense of Claims: If we request, you agree to defend any such claim at your expense using mutually agreed-upon counsel, subject to our right to participate with counsel we select. You will not agree to any settlement that imposes any obligation or liability on COJONT without our prior written consent, which we may grant or withhold in our sole discretion.
11. Dispute Resolution
Informal Resolution: If you have a dispute with COJONT, you agree to first contact us at cojont@cojont.com and attempt to resolve the dispute informally for at least sixty (60) days before initiating any formal proceedings.
Binding Arbitration: If we cannot resolve the dispute informally, you and COJONT agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Federal Arbitration Act: This arbitration agreement is governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. § 1 et seq., and evidences a transaction involving interstate commerce.
Arbitration Location: Any arbitration shall take place in Greenville County, South Carolina, unless otherwise mutually agreed.
CLASS ACTION WAIVER: YOU AND COJONT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. CLASS ARBITRATIONS, CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT PERMITTED.
Unless both you and COJONT agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Exceptions: Notwithstanding the above, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
12. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles.
Subject to the arbitration provisions in Section 11, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Greenville County, South Carolina, for any actions or proceedings not subject to arbitration.
13. Changes to Terms
We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. When we make changes, we will post the updated Terms on this page and revise the "Last Updated" date at the top of this document.
Notice of Material Changes: If we make material changes to these Terms, we may provide additional notice, such as by email or through a prominent notice on the Site.
Continued Use Constitutes Acceptance: Your continued access to or use of the Site after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
We encourage you to review these Terms periodically to stay informed of any updates.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published on the Site, constitute the entire agreement between you and COJONT regarding your use of the Site and supersede any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter hereof.
18. Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms and our rights and obligations without restriction. Any attempted assignment in violation of this section shall be null and void.
